How to be a Business Angel Investor

If you are a sophisticated investor and a person of means who is interested in investing in small, unlisted companies or inventions or turnaround (distressed) businesses, please consider joining our informal network of "business angel" investors. Venture capital or private equity funds and corporate investors are also welcome to join.

We filter business proposals on your behalf whilst your identity is kept confidential. We inform you first whenever we encounter a potential investee business that meets your investment criteria (below).

At the present time the business angel "network" is simply our database of investors. There are no organised meetings, functions or events that must be attended.

You are under no obligation to invest and there are no fees payable. (We receive a modest raising fee from the investee company and we take a minority equity stake so our success is predicated on the success of the investee.)

Typically, the companies requiring capital are seed stage or start-up businesses, small revenue-earning growth businesses or turnaround operations. We also have a number of inventors that need financial assistance in commercialising their inventions. Investments in these types of enterprises carry very high risks but there is also the potential for exceptional returns. The investment horizon is 3 to 10 years.

Hands-on involvement in your investee company is encouraged but is not a requirement for investing.

Investment amounts range from R250 000 to R20 million. You can choose to invest by yourself or, circumstances permitting, with other private investors from our business angel network.

The basis of our relationship with investors is set out below. Please click on the tick box at the bottom of the page to indicate that you have read, and will abide by, its terms. If you do not do so, we will not be able to introduce you to clients of the firm. We may require a separately-signed hardcopy document. (We also reserve the right to cease to introduce you to investment opportunities at any time, at our absolute discretion.)

Our responsibilities to you
Although you are not a client of the firm, we owe you a duty of care. We will bring to your attention any matter coming to our notice that we believe would materially affect your investment decision. If you ever believe that we have fallen below the standards that you are entitled to expect, please contact us immediately. We cannot accept responsibility for any loss of whatsoever nature in connection with an investment proposal introduced to you by us.

Your responsibilities to us
You confirm that the information given is correct and you will keep us informed of any changes to your contact details or investment requirements. In terms of the Financial Intelligence Centre Act, 2001 ("the Act"), we are required to verify the identity of investors. You consent to supplying the evidence required for compliance with the Act. Our fees are borne by our clients and we expect these to be paid, and our mandate agreement with our client honoured, on completion. You consent to being informed of possible investment opportunities by telephone, email or other convenient means, at any time.

Investment risks
It is not the firm's policy to offer investment advice to investors and you are advised to take your own independent advice before committing to an investment in any of our clients. You should make your own enquiries and verify all facts and information for yourself, and undertake such due diligence as you consider appropriate before investing.

Investment in small, new or unlisted businesses carries high risks. It is highly speculative and potential investors should be aware that no established market exists for the trading of shares in private companies or memberships in close corporations. Before investing in a project about which information is given, you are strongly advised to take advice from a person who specialises in investments of this kind.

Confidentiality
Proposals for investment, and any other information given to you by us concerning our clients, or prospective clients, is given to you on the understanding that you will hold and keep that information on a strictly confidential basis. It must not be used for any purpose other than in considering whether you should enter into discussions with them.
